Hpkeeper Terms of Use

Welcome to Hpkeeper, an online compliance tool for accountants to create and manage interest schedules for financed assets. Hpkeeper offers a new cloud based solution for chattel mortgage, hire purchase, and lease arrangements.

These terms are binding on any use of the software and will apply from the time that Hpkeeper provides you access to the software. It is your obligation to ensure that you have read, understood and agree to the most recent terms available on the website.

1. Definitions

  • "we", "our" or "us" means Hpkeeper;
  • "you" or “user” means you, your employees or representatives;
  • "Licence" or “access fee” means the permission we give to you to use our Software product; 
  • "Software" and “service” means Hpkeeper software;
  • "Website" means the Hpkeeper.com website; 

2. Software

Hpkeeper grants you the right to access and use the service via the website. This right cannot be sold, traded, transferred.

3. Usage and Termination

Hpkeeper offers you a free 14 day free trial. When you first register for access to the services you can evaluate the services under the defined trial usage conditions, with no obligation to continue. If you choose to continue using the services thereafter, you will be required to make payment from the day you first add your billing details.

To continue use of our service after the trial period you may retain all data entered within the 14 day free trial.

If you choose not to continue using the services, you may request from Hpkeeper that your data be deleted. To close your account please contact us.

Hpkeeper may terminate your access to the service if you:

  • Breach any of these terms listed including non-payment of access fees. You have 14 days from notification to rectify any such breach;
  • Have not paid your account after 14 days;
  • Become insolvent and are unable to make payment. Hpkeeper may take any or all of the following actions, at its discretion:
  • Terminate this Agreement and your use of the services and the website;
  • Suspend for any definite or indefinite period of time, your use of the Services and the website;
  • Suspend or terminate access to all or any data.

Hpkeeper does not provide refunds for remaining prepaid access fees subscription.

Use of the Service may be subject to limitations, in particular upload limits for file storage size (Mb). We offer unlimited storage for files related to finance arrangements only. Any excessive, junk or unrelated file uploads that are not relevant to the way in which the software would reasonably be used may result in files removed and or account suspension.

4. Payment

The Access Fee will depend on which plan you choose. There are two options available – monthly plan and yearly plan. All payments will include the Access Fee for the future month on the monthly plan and future year for the yearly plan.

Users subscribed to a monthly plan agree to a direct debit arrangement for twelve monthly payments for a one year fixed term. Please ensure necessary funds are available on your selected account. An invoice can be provided on request. Failure to make payment within 14 days may result in restricted access to your account until outstanding amount have been paid.

Users on yearly plans agree to a one off payment for the full year (365 day) term.

5. Access to the software

You must ensure that all usernames and passwords required to access the service are kept secure and confidential. You must notify Hpkeeper of any unauthorised use of any accounts or passwords or any other breach of security. Hpkeeper can reset passwords for any user on request.

As part of the service you must:

  • not attempt to undermine the security or operation of Hpkeeper's computing systems, programming or networks or, where the Services are hosted by a third party, that third party's computing systems and networks;
  • not use, or misuse, or deliberately overload the services in any way which may impair the functionality of the Services or website;
  • not attempt to gain unauthorised access to any user accounts or materials other than those to which you have been given express permission to access;
  • not transmit, or input into the website, any files including (virus’s, Trojans, malware) that may damage any other person's computing devices or software;
  • not upload or save content that may be offensive, or material or data in violation of any law (including data or other material protected by copyright or trade secrets which you do not have the right to use);
  • not attempt to copy, change, reproduce, or remove any part of the software provided by Hpkeeper.

6. Limitation of liability

To the maximum extent permitted by law, Hpkeeper excludes all liability and responsibility to you (or any other person) in contract, tort (including negligence), or otherwise, for any loss (including loss of information, data, profits, income, assets and savings) or damage resulting, directly or indirectly, from any use of, or reliance on the service or website provided by Hpkeeper.

If you are not satisfied with any part of our service or terms of use you should terminate your subscription. Please contact us first so that we can try to resolve any issue where possible beforehand.

7. Indemnity

You indemnify Hpkeeper against all claims, costs, damage and loss arising from use of our software or where you breach of any of the terms of service or failure to make payment for the service.

8. Intellectual Property

Title to, patents, copyright and all intellectual property offered as part of the service, including documentation, programming and the website itself will always remain the property of Hpkeeper.

The data entered by you remains your property. You grant Hpkeeper a licence to use, copy, transmit, store, and back-up your information and data for the purposes of enabling you to access and use the services.

We highly recommend that you the user maintain (download, print, save) copies of all data entered by you into the service. Hpkeeper has data backed up daily to US servers to minimise any data loss, however does not make any guarantees that there will be no loss of data. Hpkeeper excludes itself from liability and or cost for any loss of data no matter how caused.

9. Warranties

  • The access to and use of Hpkeeper software and its services is at your risk. The software provided is on a “as is” basis.
  • Hpkeeper does not warrant that the use of the service will be uninterrupted or error free. Hpkeeper is not in any way responsible for any such interference or prevention of your access or use of the services.
  • Hpkeeper is not your accountant and use of the services does not constitute the receipt of accounting advice.
  • It is your sole responsibility to determine that the services meet the needs of your business and are suitable for the purposes for which they are used.
  • You remain solely responsible for complying with all applicable accounting, taxation and other laws. It is your responsibility to check that storage of and access to your data via the software and the website will comply with laws applicable to you (including any laws requiring you to retain records).
  • Hpkeeper gives no warranty about the services. We cannot guarantee the service provided will meet your specific requirements. To avoid doubt, all implied conditions or warranties are excluded in so far as is permitted by law, including (without limitation) warranties of merchantability, fitness for purpose, title and non-infringement.

10. General Information

Governing law and jurisdiction:

Hpkeeper has been specifically designed for Australian accounting standards only. Please do not rely on this software for use in any other country.

Notice:

Notices to Hpkeeper must be sent to support@Hpkeeper.com or to any other email address notified by email to you by Hpkeeper. Notices to you will be sent to the email address which you provided when setting up your access to the service.

Rights of Third Parties:

A person who is not a party to these Terms has no right to benefit under or to enforce any term of these Terms.

11. Hpkeeper Support

Technical Problems:

In the case of technical problems you must make all reasonable efforts to investigate and diagnose problems before contacting Hpkeeper. If you do require support please contact us at support@hpkeeper.com.

Service availability:

Whilst Hpkeeper intends to make its services available 24 hours a day, seven days a week, it is possible that on occasions the services or website may be unavailable in the case of updates, additions, or unknown outages.

If for any reason our services are unavailable for extended periods we will make all reasonable efforts to inform you of the situation and do all in our power to resolve any downtime.
